1. General Aspects

WeShip is a registered trademark with the Mexican Institute of Industrial Property, and its use is exclusive to the holder of the registration rights before the Institute, owned by the business entity WeShip, S.A. de C.V. (hereinafter referred to as "WeShip"), legally established under the applicable laws in the Mexican Republic, with its conventional address located at Rio Mosa 328, Col. Del Valle, 66220, San Pedro Garza García, Nuevo León, Mexico. WeShip is also the owner and administrator of the website, whose web address is https://weship.com (hereinafter referred to as the "Site"), and other sites or subdomains used by WeShip.

The purpose of the services offered on this site, under the WeShip brand, is to act as an intermediary in the generation, purchase, tracking, and tracing of shipping labels from various courier and parcel companies (hereinafter referred to as "Labels"). WeShip users are all natural or legal persons registered on our platform, as all registered users on our platforms have the power to purchase and enjoy the labels offered here.

WeShip's services are only available to individuals with legal capacity to contract, so they should not be used by those who do not have that capacity, minors, or users who have been temporarily or permanently suspended as set forth in the terms established later. All users who use and benefit from the services offered through the WeShip platform acknowledge that they have the legal capacity to be bound by the terms set out here.

By subscribing, registering, acquiring, enjoying, using, and/or taking advantage of the labels offered on the WeShip platform, you agree to be bound by the terms and conditions reproduced here (the "Terms"). Therefore, every "user" must read this document in its entirety. If you do not agree with the Terms and Conditions, you will not be able to access the website, or you should immediately suspend your use.

En caso de no estar de acuerdo con los Términos y Condiciones, no podrá ingresar al Sitio Web o bien deberá suspender inmediatamente su uso. 

Orders and purchase orders can only be made by natural or legal persons registered on our platform, with a fiscal address or who live and reside within Mexican territory. To have access to the Labels and/or services offered through our platforms, the "User" must confirm that they have read, understand, and agree to the Terms and Conditions by clicking "Accept"; otherwise, they will not be able to continue using the platform. 

WeShip reserves the right to modify these Terms in whole or in part from time to time without prior notice, so it is the "User's" responsibility to periodically review the Website to be aware of the current Terms and Conditions. The version of the Terms that will apply to your order will be the one existing on WeShip at the time of making the purchase."

2. About Users

For the greater security of our users, all natural or legal persons who wish to use the services provided by WeShip will have the obligation to complete the registration forms requested by the latter, providing the requested information faithfully, accurately, and authentically. They assume the obligation to update their Personal Data as necessary. WeShip has the right to request proof and/or personal data and/or documents from those who wish to register to ensure the authenticity of the account. In case of detecting anomalies, registration will not be allowed. It should be understood that even though WeShip tries through various means to identify its Users, WeShip is not responsible for the accuracy of the Personal Data provided by its Users, and the Users themselves are solely responsible for ensuring and vouching for the truth, accuracy, and authenticity of the entered data 

WeShip reserves the right to admit or reject any registration request or to temporarily or definitively cancel a previously accepted registration without being obliged to communicate or explain the reasons for its decision.

In case any irregularity is detected in the data provided by the user, or false data has been provided, or possible identity theft is detected in the person registering, or it is discovered that a user has more than two accounts or has engaged in any fraudulent activity, the account will be canceled, and all acquired labels will be removed from our system. This action will not generate any right to compensation, penalty, or restitution in favor of the user. If necessary, all information will be made available to the competent authorities to carry out the relevant investigations.

Since the user will freely, spontaneously, and unilaterally choose their username and unique password, they will be solely responsible to WeShip and third parties for any action and/or liability arising from their account. It is the user's sole responsibility to keep their access key confidential. User accounts are unique and non-transferable, and in no case should a user have more than one account. It is the user's obligation to immediately notify WeShip of any unauthorized use of their account.

With the unique password, users can purchase, generate, track, and in any way, monitor the labels acquired. Users must keep this key absolutely confidential and, under no circumstances, should they disclose it or share it with others. The user is solely responsible for all actions that take place using their name and key, which includes being responsible for paying any fees that may be incurred or for any harm suffered by third parties as a result.

The sale, assignment, or transfer of the account by any means is prohibited, and only the registered user can use the account. It is prohibited for the user to disclose their username and password to third parties, and any breach of these obligations gives WeShip the right to remove the user from the system.

In the case of businesses, stores, or department stores, WeShip may require additional information to register them and, if desired, provide special publication packages if the volume of rental and/or sales warrants it

3. Acceptance of the Terms and Conditions

The use of the Site by any person confers upon them the status of User (hereinafter referred to as the "User" or "Users") and thereby accepts the terms and conditions of the Site (hereinafter referred to as the "Terms and Conditions"). These Terms and Conditions govern the User's access to and use of the Site and constitute a binding online contract between the Company and the User.

As a User, please carefully review the information contained in the Terms and Conditions. All access to and use of the Site is governed by these Terms and Conditions. Access and/or use of this Site indicates that the User has previously and thoroughly reviewed the Terms and Conditions and has unconditionally accepted them. If the User does not accept the Terms and Conditions, they must refrain from using the Site. If the User continues to use the Site, such action will be considered as an absolute and unconditional acceptance of the Terms and Conditions, including, but not limited to, the following:

a) The content displayed on the Site is, unless otherwise indicated, the property of WeShip or a third party that has given authorization for its inclusion on the Site.

b) For various reasons, such as unforeseeable events, fortuitous events, force majeure, system failures or widespread failures in computer systems and servers, among others, as well as the malfunction or interruption of any Internet connection or other part of the Internet, access and the transmission of information and messages to and from the Site may be obstructed, errors may occur in their transmission, or even temporary access to the Site may be interrupted. Such circumstances are entirely beyond WeShip's control and WeShip assumes no responsibility of any kind.

c) The User accesses the Internet at their own risk and discretion. Despite taking necessary measures to safeguard our Users' information, WeShip, under no circumstances, is responsible for or guarantees the security or integrity of any type of information, whether confidential or not, provided by the User via the Internet.

d) Unless otherwise stipulated between WeShip and the User, the User's access to and use of the Site will not, at any time, constitute for the User an implicit or explicit authorization or license to use the trademarks, registered logos, and/or used in Mexico and/or abroad by WeShip, as well as all rights to inventions (patented or not), industrial designs, utility models, trade names, trade notices, reservations of rights, domain names, as well as all types of proprietary rights to works and creations protected by copyright and any type of intellectual property recognized or to be recognized under Mexican and/or foreign laws, hereinafter referred to as "Intellectual Property" of WeShip.

e) To obtain the Labels, the User must complete a prior registration on the Site. This registration will be mandatory for the User to access them (hereinafter referred to as the "Account")

f) Once the Account is created, the User can select a username and password, which will identify the User. The User can change this password, and it is their responsibility to keep the password secure. The User is responsible for all transactions that take place through their username and password.

g) The User assumes full responsibility for any fraudulent, illegal, or unlawful activity on the Site through their Account.

h) The User assumes full responsibility for their Account and agrees not to lend, transfer, sell, partially or wholly assign their Account.

i) All information provided by the User to the Site during the registration process will be authentic.

j) The User authorizes WeShip to charge for the Labels acquired, as well as payment for any additional charges due to dimensions and weight of the shipment or product sent through different courier or parcel companies, in addition to charges for damages and losses caused to WeShip.

k) The User must refrain from deleting, circumventing, or modifying the elements used on the Site, as well as the technical protection devices or any mechanisms or procedures established on the Site.

l) The User acknowledges that if their Account has been canceled, the User will no longer have access to the Site, and all access to the Site through the canceled User's Account will be their full responsibility.

m) WeShip assumes no responsibility for the proper functioning of the Site, nor for any damages that the User may consider may arise from the interaction of the Site with their computer equipment or peripheral accessories, or with the connecting lines between their equipment and the Site.

n) The User will fulfill the obligations assumed under these Terms and Conditions in an honest, loyal, and diligent manner, in accordance with the highest standards and customary practices in Mexico.

ñ) The User will inform WeShip of the location and nature of any unusual condition of which they are aware that could affect what is established in the Terms and Conditions.

o) The User is solely responsible for the content of the packages sent under the Labels acquired through the Site. WeShip bears no responsibility for the content of such packages and, for this reason, does not guarantee the shipment of products, which will be at the discretion of the courier or parcel companies chosen.

In the event that any of the Terms and Conditions contained in this document are in conflict with additional terms or other terms and guidelines on the Site, these Terms and Conditions will prevail.

WESHIP IS NOT RESPONSIBLE FOR SHIPPING ANY ITEM THAT IS CONSIDERED DANGEROUS, HARMFUL, LET ALONE ILLEGAL, AND HAS THE OBLIGATION TO PROVIDE ALL THE INFORMATION AVAILABLE ABOUT THE USER TO THE APPROPRIATE AUTHORITIES FOR NECESSARY INVESTIGATION IN THE EVENT OF SHIPPING ANY SUCH PRODUCTS.

4. Purpose

The purpose is the use of the Site by Users interested in acquiring Prepared Labels for courier shipments with third parties, comparing and purchasing these labels at the best price based on their needs and personal choice.

The User accepts and acknowledges that WeShip only provides a platform for the purchase of Labels or packages of Labels, acting solely as an intermediary between the User and the third-party courier services. Therefore, the User acknowledges that WeShip is not responsible for the shipment of products, delivery times, conditions in which the package is delivered, as well as everything related to the courier service.

The User will be responsible for the package sent, as well as its content. They are responsible for it at all times, and in cases where the package is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, illegal, violates any law or regulation, endangers the safety of the Company or a third party.

WeShip reserves the right to modify, temporarily or permanently cancel access to the Site at any time and without prior notice for Users who misuse the Labels offered on the Site.

In the use of the Site, WeShip may act as an intermediary between the User and the courier service to assist in any dispute, delay, claim, loss, damage, or any other similar matter. However, it does not assume responsibility or guarantee the resolution of any conflicts that may arise.

WeShip aims to provide the best possible shopping experience for the services offered here. To achieve this, we need to ensure that you understand and agree not to: (i) misuse the acquired Labels; (ii) act in any way or use any device that restricts, harms, interferes with, or limits the use or enjoyment of the WeShip platforms by any other user or affects the site's security; also, (iii) you will not use any device or attempt to use any engine, software, tool, agent, script, or other device or mechanism (including, for example: spiders, bots, crawlers, avatars, or intelligent agents) to navigate or search the website, or to copy content from the website. We reserve the right to immediately deny access to the site and may close the account of any user who violates this clause or any other provision of these terms and conditions.

5. Payment and Product Fees

The User agrees to pay all fees associated with the Labels and Services offered at the prices agreed upon on the Site. The cost of the Labels may be modified at any time without prior notice to the User. Additionally, a price increase for the Label may occur once the package has been delivered to the courier or parcel service for shipment, due to reasons such as weight, dimensions, or the size of the product being sent. If this is the case, you accept and authorize WeShip to charge the price difference to the credit card you have registered on the platform or through the Balance you may have available with WeShip.

The prices of the Labels are quoted considering volumetric weight and in complete kilograms, so in the case of a weight in grams, the weight will always be rounded up to generate complete kilograms. These rates may vary in price depending on the service provider offering the service. Similarly, there are price variations depending on weight, dimensions, and coverage.

By way of example, if the quoted product weighs 600 grams, the rate considered for charging will be the volumetric weight of 1 kg because courier and/or parcel services do not take into account the grams between each kilogram of shipment, and any additional gram is automatically charged at the rate of the next kilogram upwards.

The User can make prepayments to generate Balances on the Site, which will be deducted through different purchases made on different Labels. This credit will have no expiration date and can be used by the User whenever they wish.

In the event of any discrepancy between the weight indicated by the User and the actual weight determined by the courier or parcel service, WeShip reserves the right to fine the User with an additional charge equivalent to the fine imposed by the parcel service, or with an amount equivalent to up to 35% (thirty-five percent) of the total price of their purchase. In the event that such discrepancies are repetitive for the same User, WeShip may decide to cancel their subscription and/or registration without prior notice.

The fines mentioned above will be charged directly to the User's account, and in the event that the account does not have a positive balance, a negative balance will be applied, which will have a period of no more than 10 (ten) business days to be covered. After this period, if the User does not cover the negative amounts, WeShip reserves the right to automatically charge the fee to the credit card provided for payments, and may also cancel the User's account without prior notice.

The methods available on the Site may be modified at any time without prior notice to the User.

In the event that your account is canceled due to outstanding debts, to reactivate it, you must cover, in addition to the existing debt, a fine equivalent to 35% (thirty-five percent) of your debt.

6. Cancellations of Labels

WeShip allows the cancellation of labels generated by users due to inadvertent errors. In this case, the user must request the cancellation through the platform, which will apply following the platform's analysis in the following cases:

1. If the label is not used within the first 5 days of its validity.
2. If the user made an unequivocal error in the label processing due to inadvertence.

Both WeShip and the user acknowledge that the label has a validity period of 5 (five) days from its issuance. If there is no claim for cancellation, WeShip will not be responsible for any refund. This is in accordance with the terms and conditions set by each courier service.

The user, if applicable, once the refund from the courier service has been obtained, has a period of 30 (thirty) days to request WeShip to deposit the total refund. If this period is exceeded, the user cannot request any payment, and WeShip is relieved of any responsibility in this regard.The user has 24 (twenty-four) hours following the label generation to cancel their order or make modifications to it. It is the user's responsibility to make changes within the stipulated period in order to request a refund for the service or make changes. Labels purchased on WeShip have an expiration of 5 (five) days after being purchased/generated. If the user does not use the label within this period, WeShip is not responsible if the provider does not accept the label. WeShip will not respond in any case or to any extent, either for direct or indirect damages or for consequential damage or lost profit, for any potential harm arising from the use of the information and content of the website or accessible from or through it

In the event that the user requests the cancellation of a label and still uses the label, WeShip will apply a cancellation to the cancellation request made by the user, and will not be responsible for any refund or reimbursement to the user.

1. INVOICING: All your purchases may be invoiced, for which the total amount of your purchase plus Value Added Tax will be considered. Amounts charged for fines, international taxes, and other charges generated due to non-compliance with your obligations cannot be invoiced.
2. NO ASSOCIATION OR EMPLOYMENT RELATIONSHIP: The services that WeShip provides through the online platform do not create any partnership, association, mandate, or employment relationship between users and WeShip. WeShip will always remain a legal entity and economically independent, without any other relationship than that expressed in these terms and conditions. Therefore, no user can assume commitments or obligations or offer guarantees or services on behalf of WeShip or bind it in any contract, agreement, commitment, guarantee, procedure, stipulation of any kind, or intervene or manage any procedure (whether judicial or administrative) on behalf or in representation of WeShip. As a result, the User exempts, releases, and discharges WeShip, its administrators, operators, owners, affiliates, strategic partners, suppliers, or any other similar party from all labor and social security responsibilities, such as indemnities and other benefits and obligations provided by the respective labor law, as well as penalties and/or sanctions imposed by the relevant Mexican labor and/or social security authorities. The User also undertakes to immediately cover and indemnify the latter and their representatives for the expenses they may have to incur for their defense as a result of the above, including attorneys' fees. Likewise, the User undertakes to pay for any damages and losses that may be caused to the Companies of the Society.
3. MODIFICATIONS TO THE SITE: Due to the open nature of the Internet and the Site, we constantly change and modify the Labels and Services offered on the Site, including the Terms and Conditions.

By accessing and using the Site, the User understands and agrees that WeShip has the right to make modifications and updates to it at any time without prior notice to the User. Consequently, the User expressly accepts that it is their obligation to periodically review the current Terms and Conditions on the Site. Accessing and using the Site by the User after the publication of any changes to the Terms and Conditions unequivocally indicates that the User accepts such changes and updates absolutely and unconditionally."

7. Modifications to the site

At the moment, we only work with Shopify, but we will soon be available on more marketplaces. In the meantime, you can create an account and use the platform without any issues, and once we are compatible with your e-commerce, you will be able to link your account immediately.

8. License

WeShip authorizes the User to use the Site exclusively in accordance with the Terms and Conditions stated herein, without implying that it grants the User any license or authorization or any kind of right other than the mentioned use in relation to WeShip's Intellectual Property.

9. Exclusion of Warranties and Liability

WeShip does not control and does not guarantee the absence of viruses on the Site, nor the absence of other elements on the Site that may cause alterations to the User's computer system (software and hardware) or to electronic documents and files stored on their computer system.

10. Systems

The content of the platform, its design, programs, databases, files, etc., are the property of WeShip. WeShip is susceptible to system failures or cyberattacks, whether on its servers or over the internet. Therefore, WeShip shall not be held responsible for any damage, harm, or detriment suffered by users resulting from such system failures, including but not limited to data loss, information or program damage, harm to computers or networks, or the infection of users' equipment by viruses transmitted through files, audio, images, data, among others. Users, from the moment they register on the platform, absolve WeShip of any liability in such cases.

WeShip will make every effort to keep its virtual platform fully operational. However, it does not guarantee continuous or uninterrupted access and use of its site, nor is it subject to any liability for the unavailability of the platform. WeShip is not responsible for any errors or omissions in the data contained on its website or in the publications of respective articles, as the platform is purely referential. We act solely as intermediaries between individuals seeking to list their products.

Any illegal intrusion or attempted intrusion into WeShip's systems will result in the pursuit of legal actions, including the obligation to indemnify WeShip for any potential damages caused.

11. External Sites

Unless notified through our own platform, WeShip does not have links or hyperlinks (hereinafter referred to as "Links") to the Site on sites other than WeShip's own platform. Therefore, WeShip is not responsible for the origin, use, and destinations of such Links. Consequently, the operators of sites that mention or provide a link to the Site, which is not advertised on our platform, are not authorized to manage such Links or promote WeShip or the Site. WeShip assumes no responsibility for these sites or their content unrelated to the Site and does not accept any charges for advertising.

12. Validity

The Site and the Terms and Conditions have an indefinite duration. However, WeShip may terminate, suspend, or interrupt the Site and the Terms and Conditions at any time and without prior notice to the User, without giving rise to any right to claim or compensation, and without this implying any acknowledgment of liability in favor of the User against WeShip, its administrators, owners, affiliates, strategic partners, suppliers, or any other similar entities, and without the need for any judicial declaration or judgment.

WeShip shall have the authority, at all times and without any liability, to temporarily or partially suspend or fully suspend the operation and content of the Site and its Products.

13. User Obligations

Users have the following obligations towards WeShip:

1. Provide all real information requested by WeShip for registration and enrollment on the platforms and the Site.

2. Indicate the method of payment and provide credit card details through which fees, charges, surcharges, and fines will be billed. In the event of changes in the payment method or modifications to the provided card, WeShip should be informed by providing a new payment method or updating the card payment details.

3. Provide correct and accurate information regarding the weight, volume, size, and dimensions of the product to be quoted for the purchase of shipping labels through the courier and/or parcel services of their choice.

4. Ensure that the contents of packages sent through the selected courier and/or parcel service, using the purchased shipping labels offered by WeShip, are not illegal, harmful, or dangerous products.

5.Truthfully inform WeShip about the characteristics of the product to be sent, in order to determine if the product is fragile or requires special care or maintenance.

14. Termination of Terms and Conditions

The following are causes for the termination of these Terms and Conditions:

1. Due to the User's failure to comply with what is stipulated in the Terms and Conditions.

2. Due to the expiration of the subject matter of the Terms and Conditions.

15. Account suspension

WeShip may issue a warning, temporarily or permanently suspend an account, or penalize the user in the following cases:

1. If a user registers twice under different identities, they may be permanently disabled from using the site.

2. When a user provides inconsistent information on three separate occasions.

3. If a user sends a product classified as dangerous, harmful, or illegal.

4. If the account holder is a minor.

5. If the user provided false information during registration on the platform.

6. When the email address is incorrect or disabled.

7. When users have outstanding debts with WeShip that are not settled within a maximum period of 10 (ten) business days. In this case, the user cannot reactivate their account until they have paid the debt and the penalty indicated in item 4 of these Terms and Conditions.

16. Refund for Account Cancellation

The customer shall have the right to a refund of the remaining balance in their WeShip account upon account cancellation, provided that there are no outstanding debts or charges resulting from the use of previously requested and used services. The refund procedure for account cancellation is as follows:

1. Send an email to the address reportes@weship.com, requesting a refund of the available balance in your WeShip account.

2. The customer will receive a formal refund request, in which they will be asked to provide the necessary information to process the corresponding refund.

3. Once all requested documentation and information have been provided, the customer's account will be suspended, and they must wait for a period of 30 (thirty) calendar days from their request in order to receive the corresponding refund.

4. In the event of incurring any debt for previously requested services, such as, but not limited to, overweight charges, tariffs, redirection fees, extended areas, these will be deducted from the remaining balance in the account.

5. Once the refund is processed, the bank selected by the customer may take up to 20 (twenty) business days to process the payment to their bank account.

Upon making the refund request, the customer acknowledges that WeShip has the right to deduct any corresponding debts from the account, and the customer agrees to make the corresponding payment if there is a balance in favor of WeShip.

Any refund can be made as long as 30 (thirty) business days have passed since the issuance of the last generated and/or completed shipping label, as there may be charges for overweight or taxes at the discretion of the selected courier.

17. Privacy of information and Personal Data

User information is vital to WeShip, which is why it takes precautions to the best of its ability and stores information on servers with high-security standards.

By registering and/or browsing WeShip's Site, the user and/or visitor consent to the use of their personal information for the purposes outlined below.

Users may rectify, cancel, modify, and update their Personal Data (username, password, email address, as well as registration information such as company, address, city, region, postal code, primary phone number, secondary phone number, fax number, email, etc.) and oppose its processing. Users are solely responsible for the accuracy of the provided Personal Data and are committed to keeping it up to date. In all cases, WeShip will retain the data for security reasons, as well as to resolve claims, issues, or incidents for the period of time determined by applicable regulations.

For more information on the confidentiality of your Personal Data, and if you wish to exercise your rights to access, rectify, cancel, or object to the processing of your Personal Data, please contact us via email or postal mail. When registering with WeShip, it may request, collect, and store the following Personal Data: username and pseudonym for site operation, name, valid document or identification number, a copy of this document, physical contact information (such as phone number, address, email, etc.). The user hereby fully agrees that WeShip may access all the information collected from their Personal Account, Personal Data, information about their interests, preferences, contacts, and any other content hosted on their Personal Account, including messages, photos, videos, and other types of content, as well as receiving emails to their account with information or messages from WeShip.

WeShip collects and stores certain information about the activity of users and visitors within its website, such as the URL they come from, which URL they access next, the browser they are using, and their IP addresses. Also, pages visited, searches made, shipping labels, purchases, selected couriers, products shipped, forum messages, among other information, may be stored and retained. WeShip may also access contact lists from mobile devices used by users to provide its services. This information will be used, among other things, to analyze the interests, behaviors, and demographics of users to better understand their needs and interests and provide better services or related information, send information or messages via email about new services, display advertisements or promotions, banners of interest to our users, send information or notices via text messages (SMS) to the user's provided cell phone, share Personal Data (including email addresses and financial information) with service providers or outsourcing companies that help improve or facilitate operations through WeShip, among other purposes.

Notwithstanding the above, the user expressly authorizes WeShip to transfer all or part of the Personal Data to any of the companies controlled, controlling, and/or linked to it.

Users and visitors to WeShip's website acknowledge and accept that it uses "Cookies," which are files installed on the hard drive with a limited duration in time that help personalize services. These cookies allow the website to access the user's previous activity, among other things, to understand the user's browsing habits, searches, and interests to be more aware of the user's needs and provide a better service or related information. Cookies are also used to improve promotional campaigns, display advertisements, promotions, banners, promote and enforce site rules and security, and reduce the frequency of password entry during a browsing session. Users may choose to delete the respective cookies from their computer. It should be noted that these cookies pertain to those used by WeShip and not by third parties in which WeShip has no involvement or responsibility.

WeShip may disclose the Personal Data of its users upon request by competent judicial or governmental authorities for the purpose of investigations conducted by them, even if there is no court order or executive or judicial summons. Users acknowledge and accept that WeShip collects, stores, and monitors the exchange of messages and emails between its users.

18. Intellectual Property Rights

The User is expressly prohibited from modifying, altering, or deleting, either partially or entirely, the Intellectual Property contained on the Site.

19. Assignment of Rights

The User accepts that WeShip may assign, transfer, or subcontract the rights and obligations arising from these Terms and Conditions without the need for prior written notice to the User. On the other hand, the User may not assign, transfer, or subcontract the rights and obligations arising from these Terms and Conditions without the prior written consent of WeShip.

20. Reservation of Rights

Any right that has not been expressly granted in this document is understood to be reserved to WeShip.

21. Notices

Any notice, notification, request, or other communication that the User needs to make to the Company must be made in writing and delivered (i) in person; (ii) by a notary public; (iii) by email with a receipt acknowledgment; or (iv) by recognized commercial courier services with a receipt acknowledgment, as described below:

The User must provide the Company with an email address and a physical address where the Company can send any notice, notification, request, or other communication to the User.

The User and the Company expressly agree to notify each other in writing of any change in email address and/or physical address. Until such notification is provided in a verifiable manner, notifications made will be legally considered as sent to the originally provided email address and physical address.

22. Taxes

All taxes, rights and fiscal responsibilities derived from the Terms and Conditions and that are the User's responsibility and expense, in terms of the applicable legislation. WeShip will not assume any responsibility for the failure of the User to comply with said obligations.

23. International Taxes

If the User wishes to purchase an International Shipping Label, additional charges for International Taxes may be incurred, which may be quoted directly by the chosen courier or by WeShip, and must be covered at all times by the User.

International taxes may be charged directly to WeShip, in which case the charge will be reflected directly in your account, deducting the amounts charged for Taxes directly from your wallet or balance. In the event of having an unfavorable balance in your account, a negative balance will be applied for the amount of Taxes generated, and you will have a maximum period of 10 (ten) business days to cover it. After this period, if the User does not cover the amounts appearing as negative, WeShip reserves the right to automatically charge the amount to the provided Credit Card for billing, and may also cancel the User's account without prior notice.

International Tax may also be charged directly to the package recipient, relieving WeShip of all responsibility for the payment of the amounts generated by this concept. In the event that the package does not reach its final destination due to non-payment of the corresponding Tax, there will be no claim against WeShip.

24. Printed version

The User accepts that a printed version of these Terms and Conditions, and of any communication sent and received in electronic form, will be admissible as evidence in any judicial and/or administrative or any other procedure, considering that the simple use and use of the Site is proof of tacit acceptance of the Terms and Conditions, and the express signature of the User is not required for acceptance.

25. Advertising and Good Name

The User undertakes not to use or negatively affect the good name and image of WeShip at any time. Otherwise, the User will be liable to pay damages and corresponding compensation in favor of WeShip, its operators, administrators, owners, partners, affiliates, employees, and any other similar entities. This includes, but is not limited to, the payment of any type of costs and expenses incurred by WeShip and its Affiliates as a result of the above.

26. Fortuitous event or force majeure

WeShip will not be responsible for the obligations contained in these Terms and Conditions when there are causes beyond its control, including orders from civil and military authorities, floods, epidemics, pandemics, wars, riots, and other similar cases of force majeure.

27. Hidden Defects

WeShip will not be responsible for failures or omissions on the Site in the event that they are of poor quality, incomplete, unusable, or have hidden defects or flaws when acquiring Shipping Labels by the User.

28. Defects of Consent

WeShip and the User declare and acknowledge that in these Terms and Conditions, there is no error, fraud, bad faith, violence, harm, fraud, or other damages or defects that may affect the consent of WeShip and the User.

29. Divisibility

If at any time or under any jurisdiction, any clause and/or section of the Terms and Conditions is deemed invalid or illegal, it shall be considered modified to the extent necessary so that such clause and/or section of the Terms and Conditions is deemed valid and applicable at that time or under any jurisdiction and achieves, to the greatest extent possible, the effects most similar to those intended by the Company with the original clause and/or section of the Terms and Conditions. The nullity or invalidity of any of the clauses and/or sections of the Terms and Conditions will not in any way affect the validity of the other clauses and/or sections and will not, under any circumstances, cause the nullity or invalidity of the Terms and Conditions.

30. Liability for Damages

WeShip and the User agree that in the event the User fails to meet any of their obligations under these Terms and Conditions and/or files a lawsuit of any nature against WeShip and its Affiliates, in Mexico and/or in any other country in the world, the User shall pay to WeShip and its Affiliates the full amount of damages and losses caused by the foregoing.

31. Settlement

The User releases the Companies of the Company and the Representatives of the Company from any liability and obligations arising from or that may arise from these Terms and Conditions, and the User hereby grants the broadest release that may be legally applicable to WeShip and its Affiliates. In view of the foregoing, the User will not hold any complaint, charge, action, right, claim, or demand of any kind (including, but not limited to, those related to the payment of damages, consequential (direct and indirect) damages, penalties, and indemnities), past, present, or future, known or unknown, fixed or contingent, certain or uncertain, arising or in any way related directly or indirectly to these Terms and Conditions.

32. Entirety of the Terms and Conditions

These Terms and Conditions contain everything agreed upon between the Company and the User and replace all previous negotiations, understandings, and/or agreements between them concerning the same.

33. Applicable Law

By visiting WeShip.com, you agree that the laws of the United Mexican States, regardless of your place of residence and conflict of laws, will govern these terms and conditions, as well as any dispute of any kind that may arise between the user and WeShip or its affiliates.

34. Disputes

Any dispute relating in any way to your visit to WeShip.com shall be submitted to alternative dispute resolution methods, except that, in the event you, in any manner, have violated or threatened to violate WeShip's intellectual property rights, WeShip may seek injunctive or other appropriate relief in the State or Federal courts in the State of Nuevo León, Mexico, and you consent to the exclusive jurisdiction and venue of such courts.

35. Jurisdiction and Competence

For the resolution of any dispute arising from the interpretation, compliance, and execution of the Terms and Conditions, the Company and the User expressly and mutually agree to submit to the jurisdiction of the competent courts in the City of Monterrey, in the State of Nuevo León, Mexico, waiving any jurisdiction that, by reason of their present or future domiciles or for any other reason, may correspond to them.

36. Refunds

Each courier has variable criteria regarding the application of refunds, and WeShip has no influence over the application of these criteria. WeShip will adhere to the decisions made by the couriers regarding refunds. However, WeShip commits to being involved in all disputes related to the Shipping Labels purchased through the site and will assist and support the customer in claiming any delays or non-compliance by the chosen courier. In the event that the claim is favorable to the User, WeShip will refund the amounts paid for the questioned Shipping Label. If the claim is not favorable to the User, WeShip does not assume any responsibility or guarantee any type of refund in favor of the customer.

WeShip Track is not responsible for the availability or accuracyof shipment status information provided by carriers. We do not control thecarriers' servers or systems, and therefore, we cannot guarantee the real-timeaccuracy of shipment tracking data. Users of WeShip Track should be aware thatcarriers' systems may experience downtime or delays that are beyond ourcontrol.

Additionally, WeShip Track does not assume responsibility forthe physical shipment of goods or services. We are a post-purchase logisticsmanagement system, and our role is limited to providing tracking and managementtools. The responsibility for the shipment of goods, including their safe andtimely delivery, lies with the respective carriers and the parties involved inthe shipping process.
